1. Acceptance of Terms

5. User Responsibilities

7. Termination

8. Indemnification

You agree to indemnify and hold Portal VII, its affiliates, officers, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved through:

• Negotiation: Attempted resolution through good-faith discussions within 30 days.
• Mediation: If negotiation fails, mediation conducted by a neutral third party.
• Arbitration: If mediation is unsuccessful, binding arbitration under the rules of the American Arbitration Association (AAA).
• Jurisdiction: The state and federal courts located in San Francisco, California, shall have exclusive jurisdiction over any matters not subject to arbitration.

You agree to waive any right to a jury trial or class action proceedings.

10. Miscellaneous

These Terms constitute the entire agreement between you and Portal VII regarding the Services. If any provision is found invalid, the remaining provisions remain enforceable. Our failure to enforce any right does not waive that right. These Terms are binding on your successors and assigns.
